As General Counsel and Secretary of ALLETE Clean Energy, you will report to ALLETE’s Vice President, Chief Legal Officer & Corporate Secretary and ALLETE Clean Energy President as part of the ALLETE Clean Energy leadership team, with responsibility for the legal function and all legal aspects of ALLETE Clean Energy. This is a key, highly visible position in which you will provide advice, implement policies and procedures, and ensure compliance for a fast growing, innovative clean energy company. As a key member of ALLETE Clean Energy’s leadership team, you will make decisions on strategy and day-to-day business matters. You will work in conjunction with outside counsel to provide necessary legal services to all elements of the Company, including large business deals, such as acquisitions and financings. You will serve as Secretary, and arrange for meetings of the Board of Directors. This role is located in ALLETE Clean Energy’s Duluth, MN office.
RESPONSIBILITIES:
- Provide strategic legal advice with respect to various securities, corporate governance and general corporate law matters.
- Draft and negotiate transaction documents (e.g., PSA, MIPSA, APA, etc.).
- Lead the negotiation, drafting, and critical review of agreements involving the sale or purchase of equipment used in renewable energy projects.
- Lead the negotiation, drafting and critical review of financing and security agreements.
- Support project development, operations and maintenance, and asset management departments of the Company by providing legal counsel and advice in the normal course of business.
- Lead the negotiation, drafting and critical review of services agreements, including construction service and turbine supply agreements.
- Manage outside legal counsel engaged to represent the Company.
- Ensure compliance with applicable organizational documents (articles of incorporation/organization, bylaws/operating agreements and charters).
- Oversee maintenance of corporate record books.
- Assist with entity management, subsidiary governance, Secretary’s certificates and other corporate secretary functions.
- Assist with general corporate matters, including governance issues and corporate policies and procedures.

QUALIFICATIONS:
- Juris Doctorate from ABA accredited law school required, and eligible to become licensed in Minnesota.
- Member in good standing of a State Bar Association required.
- 10+ years of in-house or large law firm experience required.
- Experience working with public company Boards of Directors and executive-level management preferred.
- Prior experience working with renewable energy through either a law firm, in house legal department, or government agency strongly preferred.
- This position may be subject to assessment of skills, job match and/or aptitude.
